Corporate Governance - Social Interest

Corporate Governance - Social Interest

Miguel Casanova published the first part of the book “Corporate Governance”. This first volume is titled “Social Interest.” Below is the back cover of the book:"The regulation and control of the directors of Commercial Companies inevitably faces the question of social interest. To judge their conduct, as well as to establish clear guidelines for their management, it is necessary to determine what purposes and interests should inspire their decisions. .An essential part of Corporate Governance Law deals with regulating what the duty to act in the interest of society entails. This is, in short, establishing what the social interest consists of (objective or material aspect) and what the procedure for its determination should be (formal aspect). This book describes the main features of the legal theories that have traditionally been faced with respect to social interest. It presents a critical analysis of the conflicting paradigms and, as a corollary, proposes a formulation of the social interest clause capable of fulfilling its function as a guide for the directors of companies and that, at the same time, respects the role that the Law is called to to perform in the field of Corporate Governance".
