Invitation to participate in the traditional annual event organized by the University of Montevideo.

The Faculty of Law at the University of Montevideo is once again convening the legal and business community for the 5th M&A Conference – Mergers and Acquisitions, which will take place on August 18 and 19, in both in-person and online formats.

Across four panels, the program brings together leading law firms and professionals from the Uruguayan market to analyze the key topics currently shaping M&A practice: from the use of artificial intelligence in transactional processes to alternative control mechanisms, labor aspects of the deal, and designing the appropriate tax structure. The academic caliber of the event, combined with the participation of the country’s top firms, confirms this conference as one of the year’s most relevant discussion spaces in the field.

The general coordination of the event is led by professors Luis Lapique, Guzmán Rodríguez, and Miguel Casanova, Director of the Corporate-M&A Department at Pérez del Castillo & Asociados. Miguel will also moderate Panel 3, dedicated to the labor aspects of the deal: relevant contingencies and the impact of stock options. His dual role—in the overall organization of the conference and leading the labor panel—reflects the firm’s commitment to excellence in legal education and the development of M&A practice in Uruguay, beyond day-to-day professional practice.

The firm will also be represented among the speakers on that same panel. Felipe Lasarte, partner in the Labor Department, will speak on one of the most sensitive aspects of any transaction: how to identify and mitigate labor risks prior to closing, and how to structure management and key employee incentives within the new corporate framework.

The firm’s participation in this conference—both in academic coordination and technical presentation—encapsulates two strengths that come together in every M&A transaction we advise on: a comprehensive understanding of the transactional process and deep specialization in labor law, which, in any merger or acquisition, determines a significant portion of the deal's real risk. Poorly identified labor contingencies, badly designed stock option plans, or hidden liabilities in employee relations can impact a deal's value just as much as any price adjustment.

While designed for the legal community, the content is equally—if not more—relevant to those on the other side of the table in an M&A transaction: corporate executives and founders evaluating buying, selling, or raising capital; startup teams undergoing funding rounds or sales processes; and financial brokers and advisors guiding these transactions. Understanding the labor, tax, and structural risks beforehand allows for better negotiation and avoids post-closing surprises.
